Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “Operator”) and Green Card Genius LLC, a Wyoming limited liability company (“Clipstorm”, “we”, “us”, or “our”), governing your access to and use of Clipstorm, our automated short-form video creation, curation, and publishing platform accessible at clipstorm.videoand associated services (collectively, the “Service”).

1. Acceptance of Terms & Eligibility

By creating an account, accessing the Service, or clicking any button indicating acceptance, you agree to be bound by these Terms and our Privacy Policy. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

You must be at least eighteen (18) years of age and possess the legal authority to enter into a binding contract to use the Service. If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have full authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Description of the Service

Clipstorm is an automated video production system designed to assist creators and businesses in producing vertical short-form videos. The Service automates script generation, voiceover synthesis, word-level captioning, b-roll footage selection and synthesis, composite frame rendering, and scheduled publishing to authorized third-party platforms.

We continuously improve and refine the Service. We reserve the right to modify, update, enhance, or temporarily or permanently discontinue features, tools, or providers at any time without prior liability.

3. Accounts, Workspace Tenancy & Security

Account Responsibility

You agree to provide accurate, current, and complete information during registration and to keep your profile information updated. You are solely responsible for safeguarding your login credentials, passwords, and API keys, and for all activities that occur within your workspace.

Multi-Tenant Workspaces

Clipstorm operates with isolated multi-tenant workspaces. Workspace owners and administrators are responsible for managing team memberships, assigning roles, and all content generated and published by authorized workspace members. You agree to notify us immediately at info@greencardgenius.com if you discover any unauthorized use or security breach of your account.

4. Content Ownership & Intellectual Property

4.1 Your Content

You retain full right, title, and ownership in all materials, text prompts, topic ideas, brand assets, logos, color guidelines, custom voice rules, audio tracks, and video footage that you provide or upload to the Service (“User Content”).

4.2 Generated Video Assets

As between you and Clipstorm, you own all right, title, and interest in the rendered video outputs, assembled scripts, audio files, and finished clips produced specifically for your tenant workspace through the Service (“Generated Assets”), subject to third-party licenses (such as stock footage licenses and third-party AI provider terms).

4.3 License Granted to Us

You grant Clipstorm a worldwide, non-exclusive, royalty-free license to host, store, process, format, render, transcode, and transmit your User Content and Generated Assets solely as necessary to operate the Service, render your videos, and publish approved clips to your designated social platforms.

4.4 No AI Model Training

We do not use your proprietary brand assets, private script drafts, uploaded media, or generated videos to train public or foundational artificial intelligence models.

5. Third-Party Stock Media & AI Services

The Service incorporates third-party stock footage, background audio, and generative AI models (including Pexels, Storyblocks, Google Vertex AI, Anthropic, ElevenLabs, Groq, and others):

Stock Media Licensing: Sourced stock video clips and audio tracks are licensed for integration into finished composite videos rendered by the Service. You agree not to extract, resell, or distribute stock media on a standalone basis outside of finished video productions.
Third-Party AI Terms: You agree to comply with the acceptable use policies and terms of the third-party AI foundation models utilized by the Service.

6. Connected Social Platforms & Automated Publishing

The Service enables automated and one-tap publishing to third-party platforms, including YouTube, Instagram, Facebook, TikTok, and Slack:

Publishing Authorization: By connecting an external platform account, you authorize Clipstorm to access your channel or account via OAuth, upload approved video files, configure metadata, and perform publishing actions on your behalf.
Independent Platform Terms: You represent and warrant that all content you publish complies with the applicable terms of each platform, including the YouTube Terms of Service, YouTube Community Guidelines, Meta Commercial Terms, and TikTok Community Guidelines.
Non-Affiliation: Clipstorm is an independent software tool operated by Green Card Genius LLC and is not affiliated with, sponsored by, or endorsed by Google LLC, YouTube, Meta Platforms, Inc., TikTok Inc., or Slack Technologies.
Platform Actions & Standing: We do not control third-party social algorithms, rate limits, content strikes, or account suspensions. You agree that Clipstorm is not liable for any penalty, reach restriction, video removal, or account termination imposed by an external platform.

7. Human-in-the-Loop Review Queue & Editorial Responsibility

Clipstorm provides a dedicated Review Queue to ensure that human operators maintain oversight before content is published to public social platforms:

Operator Verification: Generative AI models may occasionally produce factual errors, misstatements, hallucinations, or out-of-context visuals. You are solely responsible for reviewing, fact-checking, editing, and approving all scripts, voiceovers, and video drafts prior to publication.
Legal Warranty of Approved Content: By approving a video for publication, you warrant that the content does not violate any copyright, trademark, privacy right, or applicable law, and that all factual statements are truthful and substantiated.

8. Acceptable Use & Prohibited Conduct

You agree that you will not use the Service to:

Generate, upload, or publish content that is unlawful, defamatory, libelous, harassing, threatening, abusive, obscene, or promotes hate speech or violence;
Create non-consensual sexual imagery, harmful deepfakes, or deceptive media designed to defraud, deceive, or manipulate viewers;
Infringe, misappropriate, or violate the intellectual property, privacy, or publicity rights of any third party;
Transmit malicious code, viruses, worms, trojans, or attempt to compromise or probe the security of the Service;
Reverse engineer, decompile, disassemble, or derive the source code or underlying architecture of the Service;
Use automated scrapers, bots, or crawlers to harvest data from the Service outside documented APIs;
Spam social platforms or generate content at frequencies intended to circumvent social media spam filters or API rate limits.

9. DMCA & Copyright Takedown Policy

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content hosted on or produced through our Service infringes your copyright, please send a written notice to our Designated Copyright Agent containing:

A physical or electronic signature of the copyright owner or authorized representative;
Identification of the copyrighted work claimed to have been infringed;
Identification of the material claimed to be infringing and information sufficient to locate it;
Your contact information (name, physical address, telephone number, email address);
A statement of good faith belief that the disputed use is not authorized by the copyright owner;
A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner.

10. Subscriptions, Fees & Billing

Access to certain features or rendering tiers may require a paid subscription. You agree to pay all applicable fees in accordance with the pricing and billing terms in effect at the time of purchase. All payments are non-refundable except as required by law or as expressly agreed in writing.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT AI-GENERATED OUTPUTS WILL BE FACTUALLY ACCURATE OR COMPLETE, OR THAT THIRD-PARTY SOCIAL PLATFORMS WILL ACCEPT, DISPLAY, OR DISTRIBUTE YOUR PUBLISHED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GREEN CARD GENIUS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR THIRD-PARTY PLATFORM PENALTIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless Green Card Genius LLC and its officers, directors, employees, and agents from and against any third-party claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (a) your User Content or Generated Assets; (b) your approval and publication of videos to external social platforms; (c) your violation of these Terms; or (d) your infringement of any third-party intellectual property, privacy, or statutory right.

14. Suspension & Termination

You may terminate your account and discontinue use of the Service at any time. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in abusive or fraudulent activity, or if required to do so by law. Upon termination, your right to use the Service will immediately cease, and provisions that by their nature should survive termination (including IP ownership, disclaimers, limitations of liability, indemnity, and dispute resolution) shall survive.

15. Dispute Resolution, Binding Arbitration & Class Action Waiver

Informal Resolution

Before filing a legal claim, you and Clipstorm agree to attempt in good faith to resolve any dispute informally by contacting info@greencardgenius.com for at least thirty (30) days.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming, or remotely by mutual agreement.

Class Action & Jury Trial Waiver

YOU AND Clipstorm AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.

Arbitration Opt-Out

You have the right to opt out of binding arbitration by sending written notice of your decision to the physical address in Section 18 within thirty (30) days of first accepting these Terms.

16. Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any conflict of law principles. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Green Card Genius LLC regarding the Service. If any provision is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign our rights and obligations freely.
